What you said could be interpreted as public solicitation of investment. It's prohibited by the US Blue Sky Law. -- PHM - (418 Byte) 2004-8-28 周六, 00:15 (523 reads) |

Thank you for your information. But I still have some questions:
What are the "Foreign companies" ? We know in the States there are also "foreign companies", which are the companies registered in other state or country. Those companies of course under law of the US. But how about the companies registered, located, and operated in other country? If the owner is not a US citizen or resident, then no any problem at all. We are talking about, however, "ownerS", that means there are many people could be the stock holders, some are the US residents and others are not. Then who should take the responsibility? Well, finally, I could be considered as a founder. Then what will be the difference? Also, how can we define "target"? an intention? what you mean "proper things" here? what's the difference between "public solicitation" and "public offering" in law?
Thank you for your advice again.
